1. Acceptance of Terms
These Terms and Conditions ('Terms', 'Terms and Conditions') constitute a legally binding agreement between you ('Client', 'user', 'you') and LOGYKOPT SA DE CV ('LOGYKOPT', 'we', 'us' or 'our'), with address at Matamoros 1440 Dept. 702, Col. Obispado, Monterrey, Nuevo León, Mexico C.P. 64060, in relation to the access and use of the SaaS (Software as a Service) platform for plastic injection manufacturing, including its website https://logykopt-schema.com and any other related services (hereinafter, the 'Service' or 'Services').
The Client's use of the Service is subject to these Terms and our Privacy Policy, available at https://logykopt-schema.com/privacy, which is incorporated into this document by reference. We ask that you carefully read both documents before using the Service.
BY ACCESSING OR USING THE SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree with any part of these Terms, you may not access the Service.
2. Subscriptions and Billing
2.1. Subscription Plans
The Service requires a paid subscription ('Subscription(s)'). When purchasing a Subscription, you select a plan and a billing cycle (monthly or annual).
2.2. Billing Cycles and Payment
Subscription fees will be billed in advance on a recurring and periodic basis ('Billing Cycle'), according to the plan you have chosen.
Payment by Card or PayPal:
If you pay via gateway (credit/debit card or PayPal), the transaction is processed directly by our payment service providers. You authorize LOGYKOPT to charge such payment methods for the total amount of the Subscription at the beginning of each Billing Cycle. LOGYKOPT does not store or have access to your complete card details (such as CVV or full number).
Payment by Bank Transfer (Companies in Mexico):
If you choose to pay by bank transfer, you must provide accurate and complete billing information so that LOGYKOPT can issue the corresponding tax receipt (CFDI). This includes your Tax Regime, RFC (Federal Taxpayer Registry), business name and zip code. LOGYKOPT will issue an electronic invoice that must be paid by bank transfer within the period stipulated therein.
It is your responsibility to provide and keep your billing information updated. Failure to do so may result in the suspension or cancellation of your Subscription.
2.3. Automatic Renewal and Cancellation
At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions (unless you or LOGYKOPT cancel it). You may cancel the renewal of your Subscription by contacting our customer service team at [customer.care@logykopt.com].
2.4. Free Trial
Occasionally, LOGYKOPT may offer a Subscription with a free trial period ('Free Trial').
We may request your billing information to sign up for the Free Trial.
You will not be charged until the Free Trial period has expired.
Unless you cancel your Subscription before the last day of the Free Trial, you will be automatically charged the subscription fee corresponding to the plan you have selected.
LOGYKOPT reserves the right to modify or cancel the Free Trial offer at any time and without prior notice.
2.5. Fee Changes
LOGYKOPT may modify subscription fees at any time. Any fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change so that you have the opportunity to cancel your subscription before the change becomes effective. Your continued use of the Service after the fee change constitutes your acceptance of the new fee.
2.6. Refunds
Paid subscription fees are non-refundable, except when required by applicable law.
3. User Accounts
3.1. To use the Service, you must create an account and provide us with accurate, complete and current information at all times. Failure to do so may result in the immediate cancellation of your account.
3.2. You are solely responsible for safeguarding the password you use to access the Service and for all activities that occur under your account.
3.3. You agree to notify us immediately of any unauthorized use of your account or any other security breach. LOGYKOPT will not be liable for any loss or damage arising from your failure to comply with this security obligation.
3.4. You may not use as a username a name that is offensive, vulgar or obscene, or that infringes the rights of a third party.
4. Content and Data Ownership
4.1. Your Content ('Customer Data')
Our Service allows you to upload, create, store and share information, text, graphics, production parameters, work orders and other material ('Content' or 'Customer Data'). You retain all ownership rights to your Content. You are solely responsible for the legality, reliability, integrity and suitability of such Content.
4.2. License for Service Provision
By uploading or posting Content to the Service, you grant us a worldwide, non-exclusive and royalty-free license to use, reproduce, modify (e.g., for formatting), and display such Content exclusively for the purpose of operating, providing, improving and maintaining the Service (e.g., to show you your production reports or to perform backups). This license terminates when you delete your Content or cancel your account, except to the extent it has been shared with others or it is technically impossible to delete it completely (e.g., backups).
4.3. Use of Anonymized Data for Service Improvement
To improve and optimize our services, LOGYKOPT may use anonymized and aggregated data (that does not identify a particular person or company) for analysis, product development, market research and marketing purposes. Such aggregated data is not considered Customer Data and is not subject to the deletion obligations described in Section 4.2.
4.4. Client Obligations and Representations
You represent and warrant that:
You are the owner of the Content or have the necessary rights to upload and use it in the Service.
The posting of your Content does not violate the privacy rights, publicity rights, intellectual property rights or any other rights of third parties.
5. Intellectual Property of LOGYKOPT
The Service itself, including its software, code, interface, structure, logos, trademarks and the names 'SCHEMA' and 'LOGYKOPT', are the exclusive property of LOGYKOPT SA DE CV and its licensors, and are protected by copyright, trademark and other intellectual property laws of Mexico and the world.
You may not:
Copy, modify, distribute, sell, rent or create derivative works of the Service.
Reverse engineer, decompile or attempt to extract the source code of the Service.
Use the Service to build a competitive product or service.
Use 'bots' or other automated methods to access the Service.
6. Links to Other Websites
Our Service may contain links to third-party websites that are not owned or controlled by LOGYKOPT. We assume no responsibility for the content, privacy policies or practices of such sites. We recommend that you read the terms and conditions and privacy policies of any third-party websites you visit.
7. Termination
We may cancel or suspend your account and your access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive (including, but not limited to, the sections on Limitation of Liability and Applicable Law).
8. Disclaimer and Limitation of Liability
8.1. Disclaimer
THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE'. LOGYKOPT DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.
8.2. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGYKOPT SA DE CV, ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE OR GOODWILL), ARISING OUT OF (I) YOUR USE OR INABILITY TO USE THE SERVICE, (II) ANY CONDUCT OR CONTENT OF THIRD PARTIES ON THE SERVICE, OR (III) UNAUTHORIZED ACCESS TO OR USE OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY.
9. Applicable Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the United Mexican States, without regard to its conflict of law provisions. For any dispute arising in connection with these Terms or the Service, the parties submit to the jurisdiction of the competent courts of the City of Monterrey, Nuevo León, expressly waiving any other jurisdiction that may correspond to them by reason of their present or future domiciles.
10. Changes to Terms
We reserve the right to modify these Terms at any time. If a revision is material, we will try to provide you with at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
